DealKillShot provides regulatory intelligence analysis and written memoranda to assist investment professionals in evaluating potential regulatory risk in M&A transactions. All deliverables are research and informational analysis only.
DealKillShot is not a law firm. No attorney-client relationship is formed. Nothing provided constitutes legal advice. You should engage qualified legal counsel before acting on any information provided. The Company is not responsible for decisions made based on its deliverables.
All services are purchased via Stripe. Payments are processed in USD. By placing an order, you represent that you are authorized to incur the expense. Intake submissions are accepted only after full payment is received. The Company reserves the right to decline any engagement, in which case a full refund will be issued within 5 business days.
Refunds are available only if requested before analysis has commenced — meaning before a completed intake has been reviewed and research initiated. No refunds are issued once work is underway. If the Company is unable to complete a deliverable for any reason, a full refund will be issued within 5 business days.
Stated delivery windows (24-hour, 48-hour, 72-hour) are targets, not guarantees. Timelines begin upon receipt of a complete and accurate intake submission. The Company is not liable for delays caused by incomplete or inaccurate intake information or third-party data source outages.
The Company will treat all information you provide as confidential and will not disclose it to third parties except as required by law. You agree to treat all deliverables as confidential and will not redistribute, publish, or share them externally without prior written consent from the Company.
All deliverables remain the intellectual property of Protocol Logic LLC until full payment is received. Upon full payment, you receive a non-exclusive, non-transferable license to use the deliverable for internal business purposes only. You may not resell, sublicense, or otherwise distribute deliverables.
To the maximum extent permitted by applicable law, the Company's total liability for any claim shall not exceed the amount paid for the specific engagement giving rise to the claim. The Company is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or deal value, even if advised of the possibility of such damages.
Services are provided "as is." The Company makes no warranties regarding accuracy, completeness, timeliness, or fitness for a particular purpose. Regulatory landscapes change rapidly; information is current as of the delivery date only. The Company does not warrant that its analysis will identify every regulatory risk in a given transaction.
The Company is not liable for delays or failures caused by events beyond its reasonable control, including regulatory agency system outages, data source unavailability, or other circumstances outside the Company's control.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute shall first be submitted to non-binding mediation. If unresolved, disputes shall be settled by binding arbitration under AAA rules, conducted in Wyoming. You waive any right to a jury trial or class action.
The Company may modify these Terms at any time by posting updated Terms at dealkillshot.com/terms. Continued use of the site or services after changes constitutes acceptance. Material changes will be noted with an updated effective date.
